Action of Sole Incorpor of Public Interest Registry
The undersigned, Internet Society, being the sole incorporator of Public
Interest Registry, a Pennsylvania nonprofit corporation (the "Corporation"),
and acting in accordance with Section 5310 of the Nonprofit Corporation
Law of the Commonwealth of Pennsylvania, hereby takes the following actions:
- The Bylaws, attached hereto as Exhibit A, are approved and adopted
as the Bylaws of the Corporation.
- The number of members of the Corporation is fixed at one. Internet
Society, a non-profit corporation incorporated under the District of Columbia
Non-Profit Corporation Act, shall be the sole member of the Corporation.
- The number of directors of the Corporation is fixed at seven (7), and
that the following persons are elected to serve as directors, subject
to the Bylaws of the Corporation, until their successors are elected and
qualified:
- Frode Greisen
- Andy Linton
- Alan Levin
- Larry Landweber
- Gerry Barañand
- Marc Rotenberg
- David Maher
IN WITNESS WHEREOF, the undersigned, being the sole incorporator, does
hereby execute this written consent this 13th day of October, 2002.
